تهدف هذه الورقة البحثية إلى تعزيز وتطوير قواعد حوكمة الشركات المساهمة العامة في سلطنة عمان والمتمثلة في قانون الشركات التجارية العماني رقم 18/2019، ولائحة الشركات المساهمة رقم 27 لسنة 2021م، وميثاق حوكمة الشركات المساهمة العامة رقم (خ/4/2015)، كما تضمنت هذه الورقة البحثية، الكشف عن أوجه القصور وتفاديها والمتعلقة بقواعد الحوكمة على مجلس إدارة شركات المساهمة العامة في سلطنة عمان من حيث تكوين المجلس وشروطه، وواجباته، ومسؤولياته، بالإضافة الى مفهوم الحوكمة. وتوصل الباحث أن مع وجود التطورات المستمرة بقواعد حوكمة الشركات المساهمة في قانون الشركات التجارية العماني غير كافية وبحاجة للمزيد من الاستمرار في تعزيز وتطوير حوكمة الشركات المساهمة العامة.
