تساهم الحوكمة في رفع الكفاءة الاقتصادية والإدارية من خلال وضع أسس ومبادئ تنظم العلاقة بين مجالس الإدارات والمساهمين وكافة الأطراف ذات العلاقة في إدارة الشركات. وقد قامت سلطنة عمان مؤخرا بإلزام الشركات المساهمة العامة بتطبيق مبادئ الحوكمة بخلاف السابق، وذلك لمواكبة التطورات. توجد هنالك العديد من الصعوبات والتحديات في تطبيق الحوكمة على مجالس الإدارات التي كانت في السابق يأخذ بها على سبيل الاستئناس ولذلك فإن هنالك حاجة للتوضيح والتحديث والكشف عن أوجه القصور. تهدف هذه الورقة البحثية إلى تعزيز وتطوير قواعد حوكمة الشركات المساهمة العامة في سلطنة عمان والمتمثلة في قانون الشركات التجارية العماني رقم 18/2019، ولائحة الشركات المساهمة رقم 27 لسنة 2021م، وميثاق حوكمة الشركات المساهمة العامة رقم (خ/4/2015). كما تضمنت هذه الورقة البحثية، الكشف عن أوجه القصور والمتعلقة بقواعد الحوكمة لمجلس إدارة شركات المساهمة العامة في سلطنة عمان من حيث تكوين المجلس وشروطه، وواجباته، ومسؤولياته، بالإضافة الى مفهوم الحوكمة. توصل الباحث أنه ومع وجود التطورات المستمرة بقواعد حوكمة الشركات المساهمة في قانون الشركات التجارية العماني فهي غير كافية وبحاجة للمزيد من الاستمرار في تعزيز وتطوير حوكمة الشركات المساهمة العامة. ومن أهم ما توصل إليه الباحث جعل نظام الحوكمة أهم لأولويات، و وجوب حظر أعضاء مجلس الإدارة من البيع في الشركة إلا بعد أخذ الأذن من قبل نظام الشركة أو الجمعية العامة، وتحميل مجلس الإدارة المسؤولية ليس فقط في حالة مخالفتهم للقانون بل أيضا في حالة مخالفتهم لنظام الشركة
Abstract:
This research aims to strengthen and develop the rules of corporate governance for corporate companies in the Sultanate of Oman, which are stated in the Omani Commercial Companies Law No. 18/2019, corporate companies Regulations No. 27 of 2021, and the corporate Companies Governance Charter No. (E/4/2015). In addition, this research paper included the detection and avoidance of shortcomings related to the rules of governance on the directors’ board of corporate companies in the Sultanate of Oman in terms of the composition of the board and its conditions, duties, and responsibilities, in addition to the concept of governance. The researcher concluded that with the continuous developments in the rules of corporate companies’ governance in the Omani Commercial Companies Law, which is not sufficient and the need for further continuation in strengthen and develop the corporate governance of corporate companies.
